General conditions for the buyback (purchase) of “new” goods (bicycles) from customers
Article I.
Introductory provisions, purpose and scope of the conditions
- These General Terms and Conditions for the Repurchase of New Goods (hereinafter referred to as the "Terms") govern the legal relationship between:
by MTBIKER s.r.o., with its registered office at Svätoplukova 2A, Bratislava - Ružinov city district 821 08, Company ID: 46 972 111, a company registered in the Commercial Register of the Municipal Court Bratislava III, section: Sro, file number: 112433/B (hereinafter referred to as “We” or “Buyer”))
and
a natural person - non-entrepreneur (hereinafter referred to as the “Customer” or “Seller”), when buying back goods that were previously acquired (purchased) from us, our sister company or another person who is part of the MTBIKER group.
- These Terms and Conditions apply exclusively to the buyback (purchase) of used (so-called second-hand) bicycles and serve as the basic legal regulation for the conclusion of a separate purchase agreement (hereinafter also the “buyback agreement” or “purchase agreement”) concerning a specific bicycle purchased by the customer from us, our sister company or another company that is part of the MTBIKER group, which (bicycle) the customer hands back into our ownership for a fee.
- Part of the buyback process is the so-called Buyback Protocol (hereinafter referred to as the “Protocol”), usually concluded at our store, operation or other location designated by us (hereinafter referred to as the “Store”); The Protocol represents a written confirmation of all the essentials of a specific purchase contract (in particular the identification of the contracting parties, the goods, the agreed purchase price and the condition of the goods).
- These Terms and Conditions are considered an integral part of the Protocol; the Protocol refers to them and by signing the Protocol, the Seller, or Customer, confirms that they have read and understood their content and that they accept them in full.
- Whenever these Terms and Conditions refer to “Customer” or “Seller”, it always refers to an individual person - not an entrepreneur.
- Preliminary communication (in particular the online step according to Art. II, paragraph 1 below) does not give rise to any obligations towards the other party and does not establish a contract for a future contract. The binding effect only occurs upon signing the Buyback Protocol at the store (see Art. II, paragraph 3).
- For the purposes of these Terms and Conditions, the "MTBIKER Group" means the Buyer and persons directly or indirectly connected to them authorized to use the MTBIKER trademark (including, but not limited to, MTBIKER.shop s.r.o. [IČO: 52 770 222]).
Article II.
Buyback process – basic description
Step 1: Pre-fill in the online interface and book an appointment
2.1.1. The customer marks the bicycle in their user account (or in another designated online interface) that was originally purchased from us or from another person belonging to the MTBIKER Group and offers it to the buyer for repurchase.
2.1.2. The customer fills in the required data in the given online interface and provides a preliminary description of the condition of the bicycle (including any defects, damages or other deficiencies) of which they are aware. At the same time, they confirm a sworn statement that they have stated all defects, damages or other deficiencies of which they are aware and at the same time that they are authorized to handle the bicycle to the extent necessary for the repurchase in accordance with these Terms and Conditions (in particular, that they are the owner or have another valid authorization to transfer; the bicycle is not encumbered by a lien, security transfer, leasing, right of retention, is not the subject of property seizure or criminal proceedings and is not registered as stolen).
2.1.3. The customer directly selects the date and time of the physical inspection at the store in the online interface.
2.1.4. The reservation of a date and any previous communication are solely informative in nature; they are not a proposal or a contract for a future contract and do not oblige either party to conclude a purchase contract. The purchase contract is only created by the mutual signing of the Protocol at the store. Therefore, our interest in repurchasing is not assessed at this step. Preliminary data and the reservation of a date are solely informative or operational in nature and do not constitute an obligation to purchase or sell the bicycle.
Step 2: Physical inspection of the bike by a service technician at the store
2.2.1. On the reserved date at the store, the bicycle offered for repurchase in accordance with these Terms and Conditions will be checked (verified) by our service technician. Subsequently, the customer will be offered the purchase price at which we are interested in repurchasing the relevant bicycle.
2.2.2. If for any reason we decide not to buy the bicycle on site (e.g. major damage detected, discrepancy with preliminary information, inappropriate behaviour, etc.), we have the right not to conclude the purchase contract. Likewise, the customer is not obliged to make the sale if they do not agree with our purchase price offer. We reserve the right to terminate the buyback process at any time before the Protocol is signed by both parties, for any reason, or even without stating the reasons.
Step 3: Buyback Protocol – Conclusion of the Purchase Agreement
2.3.1. If we finally agree on the purchase price and possibly other details, we will write (in writing) and confirm with our signatures the Buyback Protocol (hereinafter also the “Protocol”).).
2.3.2. The protocol includes in particular:
- identification of the Seller (customer) and us (buyer),
- bicycle identification,
- the resulting agreed purchase price, or "buyback" price,
- recap of defects/condition of the bicycle,
- link (URL) to these Terms and Conditions,
- signature of both parties.
2.3.3. By signing the Protocol, a purchase contract is definitively created (the Seller, and We acquire the respective mutual rights and obligations arising from the concluded purchase contract, the content of which is given by these Terms and Conditions and the Protocol) and at the same time the relevant bicycle is handed over and taken over (i.e. the bicycle passes into our ownership).).
2.3.4. By signing the Protocol, the Seller expressly confirms that they have read these Terms and Conditions in advance and agree to them in full.
Non-binding nature of preliminary communication
2.4.1. The previous steps (online offer and our statements) are not legally binding. Neither party is obliged to conclude a purchase contract.
2.4.2. The buyback agreement (within the meaning of the Civil Code) is only created upon signing the Protocol.
Article III.
Subject of purchase and responsibility for the condition (defects) of the bicycle
Goods sold
The goods sold are always individually designated bicycles that were originally acquired (or purchased) from us, our sister company or another person within the MTBIKER Group.
Exclusion of "as is" purchase
It is expressly agreed that the subject of the purchase is not the goods in the condition “as is”. The seller is responsible for the condition of the bicycle.
Seller's statements
The Seller declares that:
- is the legal and exclusive owner of the bicycle,
- has informed the buyer of all defects, damage or other shortcomings of the bicycle of which he is aware,
- that they are authorized to handle the bicycle to the extent necessary for the repurchase in accordance with these Terms and Conditions (in particular, that they are the owner of the bicycle; the bicycle is not encumbered by a lien, security transfer, leasing, retention right, is not subject to property seizure or criminal proceedings and is not registered as stolen),
- there are no hidden defects on the bicycle that the Seller knew about but intentionally concealed.
Liability for defects
The Seller is liable for hidden defects beyond normal wear and tear. If we subsequently discover a hidden defect, we may assert appropriate claims against the seller under the Civil Code.
Article IV.
Purchase price and method of settlement
Buyback price agreement
The purchase price is determined by mutual agreement and definitively recorded in the Protocol.
Preliminary price estimates (provided online or by phone) are not binding.
Settlement of the purchase price by crediting it against the value of the gift voucher
4.2.1. The parties have agreed that the purchase price will be settled by providing a gift voucher for the purchase of goods in an e-shop operated by the buyer on the domain mtbiker.sk.
4.2.2. The value of this gift voucher (including VAT) will be equal to the agreed buyback price for the repurchase of the bicycle (or “repurchase” price) in accordance with these Terms and Conditions. The Buyer will issue an invoice to the Seller for the payment of the value of the gift voucher (including VAT) in the corresponding amount (i.e. in the amount that, including VAT, corresponds to the agreed “repurchase” price of the bicycle).).
Offsetting
4.3.1. By creating our claim against the seller (due to the claim to pay the invoiced value of the gift voucher including VAT) and at the same time the seller's claim against us (due to the agreed “purchase” price for the bicycle), we agree to set off the claims against each other.
4.3.2. Both mutual claims in the same amount will be extinguished by offsetting, namely on the day when we make the invoice for the gift voucher (including VAT) available to the Seller (Customer) in their user account (or on another specially agreed day). At this moment (the invoice for the gift voucher is made available in the Customer's user account), the respective mutual claims of the Buyer and the Seller are automatically offset. The invoice for payment of the value of the gift voucher (including VAT) will therefore (automatic offset against the agreed “purchase” price of the bicycle) state “Amount to be paid: 0 EUR”. From this moment on, the claim for payment of the agreed purchase price or “purchase” price for the bicycle is considered to be fully paid or settled at 0 EUR, namely by means of an offset against the invoiced value of the gift voucher (including VAT).).
4.3.3. We can also send the invoice to the seller's e-mail for information purposes, but the determining moment of delivery is its availability in the customer's user account. The invoice itself for payment of the value of the coupon will, due to its settlement, by offset against the agreed buyback price for the buyback of the bicycle, contain information that “Amount to be paid: 0,- EUR” (or other similar wording). The technical condition for the implementation of the agreed method of settlement, or payment of the “buyback” price within the meaning of the provisions of Article IV. of these Terms and Conditions, is a functional customer User Account. The absence of this technical condition will be resolved by a special procedure (e.g. by signing a special agreement on offset at the store together with the Protocol or in another suitable manner)
Gift voucher usage rules
4.4.1. The coupon is issued (legal relations related to the coupon are governed) according to the general Terms and Conditions (or their relevant part) intended for the use of gift vouchers in our e-shop.
Article V.
Acquisition of ownership and transfer of risk
Taking over of goods and transfer of ownership
5.1.1. The bicycle will be taken over upon signing the Protocol at the store.
5.1.2. The ownership of the bicycle passes to us upon signing the Protocol and the actual handover of the bicycle to our disposal. By signing the Protocol, the contracting parties confirm the handover and acceptance of the bicycle by the buyer.
Risk of damage
5.2.1. The risk of damage to the bicycle (recovery, destruction, theft, etc.) also passes to us at the time we take over the bicycle upon signing the Protocol.
5.2.2. If the purchase contract is not concluded, the bicycle remains the property of the seller.
Article VI.
Final provisions
Acceptance of Terms and Conditions
By signing the Protocol, the Seller confirms that they have read and agree to these Terms and Conditions.
Governing law
This contract (repurchase) is governed by the law of the Slovak Republic, in particular the relevant provisions of the Civil Code.
Possible disputes
We will try to resolve any disputes amicably. If this is not possible, the competent court in the Slovak Republic will decide.
Change of Terms
We reserve the right to unilaterally amend or supplement these Terms and Conditions. For a specific buyback, the wording effective on the date of signing the Protocol shall prevail.
Efficiency
These Terms and Conditions come into effect on 10.09.2025.
